- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE OR OUR SERVICES
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
- CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SITE
THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF PEQUOD'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PEQUOD'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
10. Indemnification
You agree to defend, indemnify, and hold harmless Pequod's Pizza, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, service providers, and successors (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Site or our services
- Your violation of any provision of these Terms
- Your violation of any applicable law, rule, or regulation
- Your violation of any third-party right, including any intellectual property right, privacy right, or contractual right
- Any content or information you submit, post, or transmit through the Site
- Your fraud, willful misconduct, or negligence

You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.
These Terms are also subject to applicable federal law, including consumer protection regulations enforced by the Federal Trade Commission (FTC) under the FTC Act, 15 U.S.C. § 41 et seq., and any other applicable federal statute.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact Pequod's Pizza at [email protected] and attempt to resolve the dispute informally. We will attempt in good faith to resolve any complaint or dispute within thirty (30) days of receiving written notice. If the dispute is not resolved within that period, either party may proceed with the following formal process.
13.2 Binding Arbitration
EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR OUR SERVICES — INCLUDING ANY QUESTION OF THE EXISTENCE, VALIDITY, OR TERMINATION OF THESE TERMS — SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, WHICH ARE AVAILABLE AT www.adr.org.
The arbitration shall be conducted in the English language, and the arbitrator's decision shall be final and binding. Judgment upon any arbitration award may be entered in any court of competent jurisdiction. The parties agree that the arbitrator shall have the authority to grant any remedy or relief that a court of competent jurisdiction could order or grant.
13.3 Class Action Waiver
YOU AND PEQUOD'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND PEQUOD'S PIZZA EACH WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
13.4 Time Limitation on Claims
Any claim arising out of or related to these Terms must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred. This limitation period applies regardless of any statute of limitations that would otherwise apply.
14. Term and Termination
These Terms will remain in full force and effect for as long as you access or use the Site or our services. Pequod's Pizza reserves the right, in its sole and absolute discretion, to:
- Terminate or suspend your access to the Site and/or your account at any time, with or without notice, for any reason
- Remove or disable access to any content or materials on the Site at any time
- Refuse service to any person or entity at any time
